Before you subscribe, you will be given the chance to review your order and fix any mistakes.

Customer: the business, or the sole trader acting in a business capacity, that subscribes, as identified when you sign up ("you"). It includes anyone you authorise to use the Service for you. You confirm that you are buying the Service for business purposes. Some customers may be individuals. For that reason we follow the main automatic-renewal protections (clear terms, express consent, reminders, easy online cancellation) for every customer, and we do not rely on the business-only label.

Billing and payment. Abraxas bills you directly and is the seller on every invoice and receipt. We keep billing records and usage metering in our own billing system. While card payment is not yet available, we send an invoice and you pay it by the method shown on the invoice. Once card payment opens, payments will be processed by our payment provider, and we will not charge any card until you have added it and agreed to automatic charges (clause 9.3).

0. Free setup period

0.1 When you create an account you get a free setup period of 14 days. No card is needed. During it you can set up your business, teach your AI employee about it, and try it, within the Starter allowances (clause 1.2). Every reply your AI employee drafts waits for your approval until you choose otherwise.

0.2 The setup period ends automatically after 14 days. Nothing is charged and no plan starts unless you choose one. If you have not chosen a plan by then, your account is restricted (clause 5A).

0.3 We ask you to confirm your email address when you sign up. Until it is confirmed you can set up your account, but you cannot choose a plan or send replies to your customers.

1. Plans and prices

1.1 List prices are in US dollars and exclude taxes (clause 9).

PlanMonthlyAnnual (paid upfront for 12 months)
Starter$149/month$1,490/year (saves $298 against monthly)
Growth$899/month, or $699/month if that is the price you were shown (clause 7)$8,990/year on the $899 price
Scale$2,499/month$24,990/year (saves $4,998 against monthly)
Enterprisefrom $6,000/month, by written quoteannual contract

1.2 Allowances per billing month:

StarterGrowthScale
AI employees1 (email only)2 (email or voice)5
Human seats1310
Voice minutes (calls to and from US and Canada numbers)none1,0004,000
AI-written replies and actions1,0005,00020,000
Emails sent5,00025,000100,000
Local phone numbers013

1.3 An "AI-written reply or action" is one draft, reply or decision written by an AI employee. Time on voice calls is counted in voice minutes, not in this allowance.

1.4 Unused allowances do not roll over to the next billing month and have no cash value.

1.5 Annual plans are paid upfront for 12 months. The allowances are given monthly, one-twelfth each month, not as a single annual pool.

2. Add-on AI employees

Add-onPriceIncludes each month
Email AI employee (Customer Service, Sales Development by email, Marketing / Drip)$299/monthits own mailbox, 1,500 AI-written replies and actions, 5,000 emails
Voice AI employee (Receptionist, Sales Development by voice, Appointment Coordinator, Customer Service by voice)$499/monthits own US phone number, 500 voice minutes (US and Canada), 1,000 AI-written replies and actions, 2,000 emails

2.1 Add-ons are billed on the same cycle as your plan. You can remove one at the end of any monthly billing period. Removing an add-on does not change your plan's term.

3. Usage beyond the allowance (overage)

3.1 Rates:

ItemRate
Voice minute, US and Canada$0.20/min
Voice minute, internationalOff by default. If you turn it on: the carrier's rate for that destination × 1.5, plus $0.10/min. The current rate for each destination is shown in the app before you turn it on.
AI-written reply or action beyond the allowance$0.03 each
Email beyond the allowance$0.002 each
Extra phone number$2.15/month
Extra human seat$29/month

3.2 Spending guard. We alert you by email and in the app when any allowance reaches 80%, and again at 100%. When AI-written replies and actions reach 150% of the monthly allowance, the affected AI employees pause and we alert you, unless you have turned on "uncapped overage" in your account settings. Paused AI employees start again at the beginning of your next billing month.

3.3 International calling stays off until an account owner turns it on in the app. Turning it on counts as your written instruction. Before you turn it on, we show you the per-minute rate for each destination. Carrier rates can change, and the app always shows the current rate. You are responsible for making sure your international calls follow the laws of the countries involved.

3.4 Overage is billed in arrears on your next invoice. Once card payment is available and you have agreed to automatic charges, it is charged to the card on file. Unpaid overage is handled under clause 9.

4. Founding-member offer

4.1 Who qualifies: the first 25 businesses or sole traders to start a paid subscription on Starter, Growth or Scale, counted by the date and time of the first paid invoice in our billing records, that sign up by 31 January 2027, 11:59 pm US Eastern Time. One founding place per business or individual (each a "Founding Member"). Enterprise quotes are excluded.

4.2 What you get while you remain a continuous paying customer:
(a) 40% off the list price of your plan for your first 12 months of paid service: Starter $89, Growth $539 (or $419 if you bought at the $699 Growth price, clause 7), Scale $1,499 per month;
(b) 25% off add-on AI employees for the same 12 months: email $224, voice $374 per month;
(c) a "Founding member" badge on your account for as long as you remain a customer; and
(d) after the 12 months, a 10% loyalty discount off the then-current list price of your plan (the "Loyalty Discount") for as long as you keep an active paid plan without a break. If you change plans, the Loyalty Discount applies to the new plan's list price. It is personal to you and cannot be transferred.

4.3 No stacking. The founding discount does not combine with the annual saving. If you choose annual billing during the founding period, you pay 12 times the monthly founding price upfront (e.g. Growth 12 × $539 = $6,468; or 12 × $419 = $5,028).

4.4 After the first 12 months, your subscription continues at the then-current list price less the Loyalty Discount. We will email you at least 60 days before the new price applies. We will email you again between 3 and 21 days before your founding price ends, with the new price and a link to cancel. You can cancel before the new price applies. (California Bus. & Prof. Code § 17602 requires a 3-to-21-day notice before a promotional or discounted price lasting more than 31 days ends, for customers it covers. The 60-day notice alone falls outside that window.)

4.5 Optional asks. We may invite you to a monthly 20-minute feedback call and ask permission to publish a case study. Both are optional. Saying no does not affect your founding price or Loyalty Discount.

4.6 Places remaining. The pricing page shows how many founding places are left. The number is the real count from our billing records, and it is never set by hand. We may correct an obvious technical error in the counter.

4.7 Number of places. There are 25 founding places in total.

4.8 If you cancel and come back, the founding price and Loyalty Discount do not apply again, and you pay the then-current list price. If you reactivate the same account within 30 days, we may restore the Loyalty Discount at our discretion.

5. Cancellation and automatic renewal

5.1 Cancel anytime. You can cancel a monthly plan online in your account settings at any time, in a few clicks, without calling or emailing us. If online cancellation is ever unavailable, write to us at support@abraxastechnologygroup.com, at the address at the top of these Terms or through the chat on our website, and we will cancel within 2 business days. We confirm every cancellation by email.

5.2 Monthly plans. Cancelling stops all future charges. You keep access until the end of the month you have already paid for. We do not refund part-months, except where the law requires it.

5.3 Annual plans

(a) An annual plan is paid upfront for 12 months. You can turn off automatic renewal at any time (see clause 5.5).

(b) If you cancel an annual plan within 14 days of your first payment or of a renewal payment, we will refund that payment in full, less any overage incurred.

(c) After 14 days the annual payment is not refundable, except as set out below for consumers or where the law requires otherwise.

(d) Consumers under the CPA: If you are a consumer as defined in the CPA, you may cancel your annual plan before the end of the term by giving us 20 business days' written notice. When you do, we will refund the fees you have paid for the remaining period, less a reasonable cancellation penalty. The penalty will not exceed the amount permitted by the regulations under the CPA (currently it is capped at 10% of the value of the remaining term, plus any reasonable costs we have already incurred). We will give you a written statement of the penalty calculation. The 14-day full-refund option in paragraph (b) is also available to you.

5.4 Overage incurred before cancellation still has to be paid.

5.5 Automatic renewal. Monthly plans renew every month and annual plans every year until cancelled.
- When you sign up, we show the renewal terms (price, how often you are billed, renewal date and how to cancel) next to the button you use to order. We ask for your separate, express agreement to the automatic renewal, with a box that is not pre-ticked.
- Straight after sign-up, we email you a copy of these terms and a cancellation link.
- For annual plans, we email a reminder between 15 and 45 days before each renewal (we aim for 30). It gives the renewal date, the price, the term and a cancellation link.
- At least once a year we send every subscriber a reminder of what they are paying for, how much and how often, and how to cancel (California's annual reminder, added by AB 2863).
- Before any material price or service change, we give clear notice (clause 6).
- We keep a record of each customer's renewal consent for at least 3 years, or 1 year after the contract ends if that is later.

5.6 Data after cancellation. When your paid period ends, your account becomes read-only for 30 days so that you can export your data (clause 5A). After that it is closed, and we delete your account data no sooner than 60 days after closing, under our Privacy Notice. We keep data longer only where the law requires it, and we store that data securely.

5A. Account status

5A.1 Your account is always in one of these states, shown on your Plan & Usage page:

StateWhenWhat you can do
Setup periodthe first 14 days, before you choose a planeverything, within the Starter allowances
Activeyou have a plan, including a cancelled plan until the end of the period you paid foreverything your plan includes
Restrictedthe setup period ended without a plan, or an invoice is unpaid 14 days after it is duesee and export your data and choose a plan; your AI employees pause and nothing new is sent
Read-onlyyour paid period has endedsee and export your data for 30 days, or choose a plan to reopen
Closed30 days after the read-only period startschoose a plan to reopen, or ask for an export; we delete your data no sooner than 60 days after closing

5A.2 Choosing or paying for a plan returns a restricted, read-only or closed account to Active straight away, and paused AI employees start again.

5A.3 Account emails. We send service emails about your account to the email address you signed up with: confirming your email, welcome and setup reminders, the end of your setup period, plan and invoice confirmations, cancellation confirmations, reminders before your plan ends, and notices when your account is restricted, read-only or closed. These are part of the Service, not marketing, and you cannot unsubscribe from them while you have an account.

6. Price changes

6.1 We may change list prices. On a monthly plan we email you at least 30 days before a new price applies to you, and you can cancel before then at no cost. A founding member leaving the founding period gets 60 days' notice (clause 4.4). On an annual plan, a new price applies only from your next renewal. The price you bought at is never raised during a paid term.

7. Price test (Growth plan)

7.1 We are testing two prices for the Growth plan: $899 per month and $699 per month (founding: $539 or $419). Each price is a separate plan in our billing system. Which price your browser sees is chosen at random (50/50) and remembered in a first-party cookie for 90 days. No personal data is used to set it. Starter and Scale prices are the same for everyone.

7.2 You pay exactly the price you were shown when you bought, and you keep it for as long as you stay on that plan, subject to the founding terms (clause 4) and price changes with notice (clause 6). The test result never changes your price.

7.3 Search engines, and visitors with no cookie, are shown the $899 price.

7.4 The pricing page says: "We test prices from time to time. The price you see when you sign up is the price you pay."

7.5 We do not owe a price match.

8. AI employees making phone calls

8.1 Disclosure. Every call made or answered by an Abraxas voice AI employee begins with a disclosure in the language of the call, for example: "Hi, this is Ava, an automated AI assistant calling for Harbor Dental. This call is recorded." The AI never claims to be human, including when asked.

8.2 Outbound calls: your responsibilities. You decide whom your AI employee calls. Before your AI employee calls a mobile or residential number, you must have the called person's prior express consent where the law requires it, and prior express written consent for any call that markets your goods or services. The FCC's Declaratory Ruling of 8 February 2024 (FCC 24-17, CG Docket No. 23-362) confirmed that AI-generated voices are "artificial" voices under the Telephone Consumer Protection Act, 47 U.S.C. § 227. The TCPA's artificial and prerecorded voice rules therefore apply to every AI voice call made through the Service. Business wireless numbers are still treated as wireless numbers.

8.3 Opt-outs. People may withdraw consent in any reasonable way, including by saying "stop" on a call. The Service records an opt-out made on a call and adds the number to your do-not-call list automatically. You must honour every opt-out within 10 business days at most, including opt-outs you receive outside the Service.

8.4 Do-not-call and calling hours. You must not use the Service to make marketing calls to numbers on the National Do Not Call Registry, or on your own do-not-call list, unless an exception applies. The Service lets outbound calls through only between 8 am and 8 pm in the called person's local time.

8.5 State telemarketing laws. Many states have their own telemarketing and "mini-TCPA" laws, often with private lawsuits. Examples are Florida (Fla. Stat. § 501.059), Oklahoma (15 O.S. § 775C.1 et seq., the Telephone Solicitation Act of 2022), Texas (Tex. Bus. & Com. Code chs. 302, 304 and 305), Washington (RCW 80.36.390) and Georgia (O.C.G.A. § 46-5-27). Some of these limit the number of calls (Florida and Oklahoma: no more than 3 calls in 24 hours on the same subject). Take local advice for the states you call into. We may block calls to some area codes or require extra steps before you can call them.

8.6 Call recording. You must not turn off the recording announcement. All-party consent rules apply in, among others, California, Delaware, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania and Washington, and to phone calls in Connecticut (civil). Michigan's rule is unsettled.

8.7 Bot disclosure laws. The opening disclosure is meant to satisfy the laws that require AI or bots to identify themselves. Utah's Artificial Intelligence Policy Act (Utah Code tit. 13, ch. 75, as amended in 2025 by SB 226 and SB 332, in force until 1 July 2027) requires a business to say it is using generative AI when a consumer clearly asks, and to say so up front in high-risk interactions in licensed occupations. California's B.O.T. Act (Cal. Bus. & Prof. Code §§ 17940–17943) applies to bots "online", defined in § 17940(b) as appearing on a public-facing website, web application or digital application. It most clearly covers the chat widget and email, and probably not phone calls, but the disclosure covers both.

8.8 Your responsibility and indemnity. You are responsible for making sure that every call placed through the Service complies with the law, including the TCPA, the Telemarketing Sales Rule, state telemarketing laws, do-not-call rules and recording laws. You must get and keep every consent required, keep records of where each consent came from, and give them to us on request. You will indemnify, defend and hold harmless Abraxas and its affiliates, officers, employees and agents against claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising from: (i) your use of the Service in breach of these Terms; (ii) any call you place or attempt through the Service that is alleged to break the law; (iii) any lists you supply or any call content you instruct; or (iv) any failure to get required consents or to honour opt-outs. This indemnity survives the end of your account. We may suspend outbound calling if we receive complaints, if we reasonably believe your use creates legal risk, or if you do not supply consent records on request.

9. Taxes, invoices and payment

9.1 Taxes. Prices exclude sales, use, VAT, GST and similar taxes. Where we are required to collect them, we add them to your invoice. You pay all taxes on your purchase, except taxes on our net income.

9.2 Invoices. Until card payment is available, we invoice you at the start of each billing period and for overage in arrears. Each invoice shows its due date. If an invoice is still unpaid after it is due, we email you, and the AI employees may pause until it is paid. If it is still unpaid 14 days after it is due, we may cancel your subscription. Amounts already owed remain due.

9.3 Card payment (coming soon). When card payment opens, we will ask you to add a card. We will not charge a card automatically until you have added it and expressly agreed to automatic charges for your plan's renewals and overage. After that, if a card payment fails, we retry up to 3 times over 7 days. If it still fails, the AI employees pause until payment is made, and we may cancel the subscription 14 days after the first failed attempt.

10. Data processing

10.1 Where you upload or provide personal information to the Service, including contact lists, CRM records, knowledge-base contents and call content, you are the responsible party (POPIA) and the controller (GDPR/UK GDPR). We act as your operator (POPIA) and your processor (GDPR/UK GDPR).

10.2 We will process that information only on your documented instructions as set out in these Terms and our Privacy Notice, and will not use it for our own purposes.

10.3 We will implement appropriate technical and organisational security measures to protect the information, and will notify you without undue delay if we become aware of a personal data breach involving that information.

10.4 We will assist you, as reasonably possible, in responding to requests from data subjects and in meeting your data-protection obligations.

10.5 At the end of the Service, we will delete or return the information as described in the Privacy Notice.

10.6 You warrant that you have obtained all necessary consents and have a lawful basis for the processing of that information by us as your operator/processor.

11. General

11.1 Governing law. These Terms are governed by the laws of the Republic of South Africa, and the courts of South Africa (Western Cape Division, Cape Town) have jurisdiction, unless the law of your country gives you a right that cannot be excluded.

11.2 If any customer counts as a consumer under the applicable law (including the Consumer Protection Act, 2008 of South Africa where it applies), that customer may bring claims in their local small-claims court, and any arbitration or class-action waiver applies only as far as the law allows.

11.3 We may assign these Terms. You may not assign them without our written consent.
